Welcome to ZetasBuild Pvt Ltd (“ZetasBuild”, “we”, “us”). These Terms and Conditions govern the engagement, scoping, engineering, and delivery of software development, website development, and digital consulting services provided to our clients. By engaging our services or commissioning a project, you agree to these terms.
1. Engagement & Project Proposals
All engineering engagements commence with a written Statement of Work (SOW) or Project Proposal outlining technical deliverables, sprint schedules, milestones, and fees. Work begins upon execution of the proposal and receipt of the agreed initial milestone deposit.
2. 100% Intellectual Property Ownership
We believe in total client ownership with zero vendor lock-in:
- Upon full settlement of contracted project milestones, all custom source code, documentation, Figma design tokens, database schemas, and digital assets developed exclusively for your project transfer 100% to your organization.
- Open-source libraries and frameworks (e.g. Next.js, React, Tailwind CSS) remain governed by their respective standard open-source licenses (such as MIT or Apache 2.0).
3. Lifetime Bug-Fix Warranty
ZetasBuild stands behind the engineering quality of its delivered software:
- Every project delivered by ZetasBuild includes a complimentary Lifetime Bug-Fix Warranty.
- If any bug, defect, or technical regression surfaces in our delivered codebase, our engineering squad will diagnose and resolve the issue free of charge for the life of the software.
- Scope of Warranty: Applies to the code delivered by ZetasBuild running on the approved hosting environment. Excludes modifications made by third-party developers, breaking changes caused by unmanaged external third-party APIs, or major platform version upgrades outside the original scope.
4. Milestones & Invoicing
Project billing is structured around verified deliverables:
- Fixed-Price Milestones: Payments are billed against demonstrable working staging builds (e.g., Design Approval, Alpha Demo, Production Release).
- Retainers: Monthly maintenance and continuous engineering retainers are billed at the beginning of each billing cycle with transparent timesheet tracking.
- Invoices are payable within 14 business days via bank transfer or approved electronic payment methods.
5. Client Responsibilities & Feedback
Prompt delivery relies on active collaboration. The client agrees to provide necessary brand assets, API credentials, copy materials, and timely feedback on sprint staging builds to maintain the agreed project schedule.
6. Governing Law
These Terms and Conditions and any associated contracts shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising out of these terms shall be resolved through good-faith mutual negotiation, or subject to the exclusive jurisdiction of the courts of Sri Lanka.
